Learning Objectives
- AAOS governance is complex, and the module provides an understanding of how the AAOS is governed by its Board of Directors.
- The Board of Directors serves as fiduciaries of the AAOS and is responsible for setting the strategy of the organization and utilizing its governance practices to implement the strategy.
- The three levels of governance—fiduciary, strategic, and generative—are instrumental in good governance and will challenge the Board to redefine the future of the AAOS.
- The nine AAOS Governance Principles were developed and approved by the Board of Directors to support modern governance.
- The Board of Directors composition is identified in the Bylaws and elected by the Fellowship. Oversight of the process to identify nominees to serve on the Board is independent through the AAOS Nominating Committee, Board of Councilors Nominating Committee and the Board of Specialty Societies Nominating Committee.
- The Board of Directors is supported by a complex governance structure with four Councils and over 70 committees. The Committee Appointment Program Committee has oversight of the selection and approval process for the volunteer structure. An online platform, the Committee Appointment Program provides a streamlined process to allow members to apply for committee positions of interest.
- TThe AAOS has a robust AAOS Orthopaedic Disclosure Program to manage conflicts of interest matters for volunteers serving in AAOS governance. Through policies and procedures, conflicts of interest maters are managed accordingly.
